By accessing or using MotionMate, you agree to be bound by these Terms of Service and all applicable laws and regulations.
1. Acceptance of Terms
These Terms of Service constitute a legally binding agreement between you and MotionMate governing your use of the MotionMate platform and services.
By registering for an account, accessing the platform, or using any MotionMate services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use the MotionMate platform.
2. Service Description
MotionMate is a cloud-based software-as-a-service platform designed for physiotherapy clinics to manage:
- Patient records, assessments, diagnoses, and treatment plans
- Appointment scheduling and clinic calendar management
- Staff roles and access control for Physio Admins, Physiotherapists, and Receptionists
- Billing, invoicing, and payment tracking
- Clinical documentation and progress notes
- Analytics, reports, and clinic performance metrics
MotionMate provides the platform and tools. Clinics remain responsible for clinical decisions, patient care, regulatory compliance, and professional practices.
3. Eligibility & Account Registration
Eligibility: To use MotionMate, you must:
- Be a licensed physiotherapy clinic or healthcare practice authorized to operate in your jurisdiction
- Be at least 18 years old and have legal authority to enter into binding contracts
- Provide accurate, complete, and current information during registration
- Comply with applicable healthcare laws and regulations
Account Security: You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying MotionMate of unauthorized access or security breaches
- Ensuring staff users comply with these Terms
4. Subscription Plans & Billing
Subscription Plans: MotionMate offers multiple subscription tiers such as Starter, Professional, and Enterprise, with different features and pricing.
Billing:
- Subscriptions may be billed monthly or annually in advance
- You authorize MotionMate to charge your payment method for subscription fees
- Fees are non-refundable except where required by law or clearly stated
- Subscriptions may renew automatically unless cancelled before the renewal date
Price Changes: We may change subscription prices with advance notice. Continued use after notice means acceptance of the new pricing.
Late Payment: If payment fails, MotionMate may suspend or terminate access until payment is received.
5. User Responsibilities & Prohibited Conduct
You agree not to:
- Use the platform for unlawful purposes or regulatory violations
- Enter false, misleading, or fraudulent information
- Share account credentials or allow unauthorized access
- Attempt to reverse engineer, decompile, or access source code
- Use automated bots or scrapers without authorization
- Upload viruses, malware, or harmful code
- Interfere with platform security, servers, or other users’ access
- Resell or redistribute MotionMate services without written permission
- Remove or alter proprietary notices or branding
You agree to:
- Comply with healthcare laws, privacy regulations, and patient data requirements
- Maintain appropriate licenses and credentials for your clinic and staff
- Use the platform only for legitimate clinic management purposes
- Keep patient data accurate, current, and secure
- Obtain necessary patient consents for data storage and processing
6. Data Ownership & License
Your Data: You retain ownership rights to the data you enter into MotionMate, including patient records, clinic information, and related documentation.
License to MotionMate: You grant MotionMate a limited license to host, store, process, and display your data only to provide platform services and as described in our Privacy Policy.
Platform Ownership: MotionMate software, features, designs, trademarks, and intellectual property remain owned by MotionMate and protected by applicable laws.
7. Platform Availability & Support
Uptime: We strive to maintain reliable service but do not guarantee uninterrupted or error-free access.
Support: Customer support is provided through email and available contact channels.
Updates: We may update, modify, or discontinue features. Material changes may be announced when possible.
8. Termination
By You: You may cancel your subscription from your account settings or by contacting support.
By MotionMate: We may suspend or terminate your account if you violate these Terms, fail to pay fees, engage in abusive conduct, or create a legal or security risk.
Effect of Termination: Upon termination, access to the platform may be revoked. You may request a data export within a reasonable period before data is deleted according to retention rules.
9. Disclaimers & Limitations of Liability
Disclaimers:
The platform is provided “as is” and “as available” without warranties of any kind, express or implied.
MotionMate does not guarantee that the platform will meet every requirement, operate without interruption, or be secure from every unauthorized access attempt.
Limitation of Liability:
To the maximum extent permitted by law, MotionMate shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
Medical Disclaimer: MotionMate is a practice management tool, not a medical device or diagnostic tool. Clinical decisions, diagnoses, and patient care remain the responsibility of the clinic and healthcare professionals.
10. Indemnification
You agree to indemnify and hold harmless MotionMate and its team from claims, liabilities, damages, losses, or expenses arising from:
- Your use of the platform
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of third-party rights, including patient privacy rights
- Clinical decisions, patient care, or malpractice claims
11. Governing Law & Dispute Resolution
Governing Law: These Terms are governed by applicable laws and regulations relevant to MotionMate’s operation.
Dispute Resolution: Disputes should first be addressed by contacting MotionMate. If unresolved, parties may pursue appropriate legal remedies.
Exceptions: Either party may seek urgent legal relief to protect intellectual property, platform security, or patient data.
12. Miscellaneous
Modifications: We may update these Terms from time to time. Continued use after changes means acceptance.
Severability: If any provision is found invalid, the remaining provisions remain in effect.
Entire Agreement: These Terms and our Privacy Policy form the agreement between you and MotionMate.
No Waiver: Failure to enforce a provision does not waive our right to enforce it later.
